APOCOS PROPRIETARY SOFTWARE LICENCE

This licence applies only to the proprietary software components of ApocOS that are owned by or licensed exclusively to FlatCoder Ltd ("ApocOS Proprietary Software").
ApocOS is distributed as part of a system that also contains third-party open-source software, open data, language models and other third-party materials. Those components are NOT licensed under this licence. See "Third-Party Components" below.
1. OWNERSHIP
The ApocOS Proprietary Software, including its source code, executable code, user interfaces, services, scripts, orchestration software, ApocOS-specific utilities, documentation and other original components, is proprietary software.
Except for the limited licence expressly granted below, all copyright, intellectual property rights and other rights in the ApocOS Proprietary Software are reserved by FlatCoder Ltd and its licensors.
Purchase of an ApocOS product, USB device, appliance, image or licence does not transfer ownership of the ApocOS Proprietary Software or its intellectual property rights.
2. LICENCE GRANT
Subject to the applicable End-User Licence Agreement ("EULA") and these terms, FlatCoder Ltd grants the lawful licensee a limited, non-exclusive, non-sublicensable licence to use the ApocOS Proprietary Software on the Unit for which it was supplied or licensed.
A "Unit" means the individual USB device, computer, appliance or other device to which the relevant ApocOS licence has been assigned.
Unless FlatCoder Ltd expressly agrees otherwise in writing, one ApocOS licence permits use on one Unit only.
No rights are granted except those expressly stated in this licence or required by applicable law.
3. RESTRICTIONS
Except where expressly permitted by FlatCoder Ltd in writing or where applicable law provides otherwise, you must not:
(a) copy, reproduce, duplicate, clone or image the ApocOS Proprietary Software for use on another Unit;
(b) distribute, publish, upload, share, sell, sublicense, rent, lease, lend or otherwise make the ApocOS Proprietary Software available to another person separately from an authorised transfer of the licensed Unit;
(c) modify, adapt, translate or create derivative works based upon the ApocOS Proprietary Software;
(d) use the ApocOS Proprietary Software, or any substantial part of it, as the basis of another software distribution, appliance, commercial product or competing product;
(e) remove, obscure or alter copyright notices, licence information, product identifiers or other proprietary notices relating to the ApocOS Proprietary Software;
(f) bypass, disable, remove, interfere with or circumvent licence enforcement, device binding, integrity checking, copy-protection or other technical protection measures applied specifically to the ApocOS Proprietary Software, except to the extent that applicable law expressly permits such activity notwithstanding this restriction;
(g) extract or make use of ApocOS proprietary source code except where FlatCoder Ltd has expressly supplied that source code for an authorised purpose; or
(h) reverse engineer, decompile or disassemble the ApocOS Proprietary Software except to the extent that such activity is expressly permitted by applicable law and the applicable legal right cannot lawfully be excluded or restricted by agreement.
These restrictions apply only to the ApocOS Proprietary Software. They do not restrict rights granted to you under licences applicable to third-party components.
4. BACKUP AND COPYING
No copy of the ApocOS Proprietary Software may be made except:
(a) where FlatCoder Ltd expressly provides or authorises a backup, recovery or replacement mechanism;
(b) where copying occurs automatically as a technically necessary part of normal authorised use; or
(c) to the extent that applicable law gives the lawful user a right to make a backup or other copy that cannot lawfully be excluded.
A permitted backup or recovery copy does not create an additional ApocOS licence and may not be used to operate an additional Unit.
5. DEVICE BINDING AND COPY PROTECTION
ApocOS products may use technical measures to associate the ApocOS Proprietary Software with an authorised Unit.
These measures may include hardware identifiers, cryptographic keys, Trusted Platform Module ("TPM") facilities, storage-device characteristics, licence partitions, integrity verification or other mechanisms intended to prevent unauthorised copying or use.
The fact that it may be technically possible to defeat, bypass, reproduce or modify such measures does not grant permission to do so.
Nothing in this section is intended to restrict rights granted under applicable third-party open-source licences or rights that cannot lawfully be restricted.
6. TRANSFER OF A UNIT
Where permitted by the applicable EULA, the lawful owner of a physical ApocOS Unit may transfer that complete Unit to another person together with the ApocOS licence assigned to it, provided that:
(a) the ApocOS Proprietary Software remains installed only on that Unit;
(b) the transferor retains no usable copy of the ApocOS Proprietary Software;
(c) any supplied licence, recovery media and applicable terms are transferred with the Unit; and
(d) the recipient accepts the applicable EULA and licence terms before using the ApocOS Proprietary Software.
The ApocOS Proprietary Software may not be transferred independently of its authorised Unit unless FlatCoder Ltd expressly authorises the transfer in writing.
7. THIRD-PARTY COMPONENTS
ApocOS is built upon and distributed alongside third-party software and data, including components of Debian GNU/Linux and other open-source projects.
Such third-party components are licensed under their own respective licences, which may include the GNU General Public License ("GPL"), GNU Lesser General Public License ("LGPL"), MIT License, BSD licences, Apache License 2.0, Creative Commons licences, Open Data Commons licences and other terms.
Those third-party licences govern the relevant third-party components.
Nothing in this licence is intended to remove, reduce or restrict any right granted to you by an applicable third-party licence.
In particular, where an open-source licence grants rights to copy, modify, study or redistribute a third-party component, those rights remain unaffected with respect to that component.
The proprietary restrictions in this licence apply only to the ApocOS Proprietary Software.
Details of third-party components and their applicable licences are provided in the ApocOS Third-Party Notices and, where applicable, the licence information distributed with the relevant component.
8. OPEN DATA AND KNOWLEDGE CONTENT
Maps, encyclopaedic material, environmental datasets and other third-party data distributed with ApocOS remain subject to their respective licences and attribution requirements.
FlatCoder Ltd does not claim ownership of third-party open data merely because it is distributed, indexed, processed or made accessible through ApocOS.
Nothing in this licence restricts redistribution or other use of third-party data where its applicable licence permits such activity.
9. LANGUAGE MODELS AND OTHER THIRD-PARTY MATERIAL
Language models, model weights and other separately licensed materials distributed with ApocOS remain subject to their respective licence terms.
Where the terms applicable to a particular model or other component grant rights beyond those provided by this licence, those rights continue to apply to that component.
10. NO OPEN-SOURCE LICENCE FOR APOCOS PROPRIETARY SOFTWARE
The inclusion of open-source software within the ApocOS distribution does not, by itself, place the separately authored ApocOS Proprietary Software under an open-source licence.
Except where a particular file or component expressly states otherwise, ApocOS Proprietary Software owned by FlatCoder Ltd is proprietary and is licensed only under these terms and the applicable EULA.
No licence under the Apache License 2.0, GPL, MIT License or any other open-source licence is granted to ApocOS Proprietary Software merely because ApocOS interoperates with, invokes, aggregates or is distributed alongside software under such a licence.
11. TERMINATION
The licence to use the ApocOS Proprietary Software is conditional upon compliance with these terms and the applicable EULA.
FlatCoder Ltd may terminate the licence where the licensee materially breaches these terms and, where the breach is capable of remedy, fails to remedy it within any reasonable period required by applicable law or specified by FlatCoder Ltd.
Upon lawful termination, the licensee must cease using the ApocOS Proprietary Software and, where applicable, destroy unauthorised copies.
Termination does not affect rights relating to third-party components granted independently under their respective licences.
12. NO WARRANTY UNDER THIS LICENCE
This document primarily defines the intellectual-property licence applicable to the ApocOS Proprietary Software.
Warranty, consumer rights, support, limitation of liability, safety information and other contractual terms applicable to a particular ApocOS product are set out in the applicable EULA and terms of sale.
Nothing in this licence excludes, restricts or modifies any right, remedy, guarantee or liability that cannot lawfully be excluded, restricted or modified.
13. GOVERNING LAW
This licence and any dispute or claim arising from it or its subject matter are governed by the laws of England and Wales, subject to any mandatory rights or protections applicable to a consumer or other licensee that cannot lawfully be excluded.
