This End-User Licence Agreement (“Agreement” or “EULA”) governs use of the proprietary ApocOS software supplied by FlatCoder Ltd.

Please read this Agreement before installing, activating or using ApocOS.

By installing, activating or using the ApocOS Proprietary Software, you agree to this Agreement.

If you are a consumer, nothing in this Agreement affects statutory rights that cannot lawfully be excluded or restricted.

1. PARTIES

This Agreement is between:

FlatCoder Ltd United Kingdom (“FlatCoder”, “we”, “us” or “our”)

and the individual or organisation lawfully acquiring or using the relevant ApocOS licence (“you” or “Licensee”).

2. WHAT APOCOS IS

ApocOS is an offline computing and information platform designed to provide local access to software, artificial-intelligence functionality, maps, knowledge resources and other capabilities without requiring continuous Internet connectivity.

Depending on the edition and product purchased, ApocOS may be supplied:

on a bootable USB device;
pre-installed on a computer or appliance;
as an authorised installation image;
as part of an ApocOS hardware product; or
through another method expressly authorised by FlatCoder.

Features vary between editions, architectures, hardware platforms and releases.

Specific functionality, hardware requirements and compatibility information supplied with the relevant product form part of the description of that product.

3. DEFINITIONS

For this Agreement:

“ApocOS Proprietary Software” means software and other protectable materials owned by or licensed exclusively to FlatCoder and supplied as proprietary components of ApocOS.

“Third-Party Components” means independently licensed software, models, data, documentation, firmware and other materials distributed with or used by ApocOS.

“Unit” means the individual USB device, computer, appliance or other hardware unit to which an ApocOS licence has been assigned.

“Licensed Unit” means a Unit authorised to run the relevant copy of ApocOS Proprietary Software.

“ApocOS Product” means the relevant ApocOS USB, appliance, software licence or other product supplied by or on behalf of FlatCoder.

4. LICENCE GRANT

Subject to this Agreement and the ApocOS Proprietary Software Licence, FlatCoder grants you a limited, non-exclusive and non-sublicensable licence to use the ApocOS Proprietary Software on the Licensed Unit.

Unless expressly stated otherwise when purchased:

one ApocOS licence authorises one Unit.

The licence permits use of ApocOS for lawful personal, professional or internal business purposes.

Purchase of an ApocOS Product does not transfer copyright or other intellectual-property ownership in the ApocOS Proprietary Software.

5. PERMITTED USE

You may:

operate ApocOS on the Licensed Unit;
use its functionality for lawful purposes;
store your own information and files using functionality provided for that purpose;
install authorised ApocOS updates;
use supported recovery mechanisms;
use Third-Party Components in accordance with their respective licences; and
transfer a complete Licensed Unit where permitted by Section 12.

Where ApocOS provides tools capable of analysing networks, software, radio systems, computer systems or other infrastructure, you may use those tools only where you have lawful authority to do so.

6. COPYING AND REDISTRIBUTION

Except where expressly authorised by FlatCoder or required by applicable law, you must not copy, clone, reproduce, distribute, upload, publish, sell, sublicense, rent, lease or otherwise provide the ApocOS Proprietary Software to another person.

In particular, purchasing an ApocOS USB device or appliance does not permit you to:

duplicate the supplied ApocOS installation for other people;
clone it onto additional USB devices or computers;
distribute ApocOS installation images;
upload an ApocOS image to a file-sharing or download service;
manufacture or sell unauthorised ApocOS devices;
bundle ApocOS Proprietary Software with another product for redistribution; or
retain and use an additional copy after transferring the licensed Unit.

These restrictions apply to ApocOS Proprietary Software and do not remove redistribution or copying rights independently granted by licences applicable to Third-Party Components.

7. MODIFICATION AND DERIVATIVE WORKS

Except where FlatCoder expressly authorises otherwise or applicable law provides a right that cannot lawfully be restricted, you must not modify, adapt, translate or create derivative works from ApocOS Proprietary Software.

You must not use ApocOS Proprietary Software, its proprietary source code, or substantial proprietary portions of it to create or assist in creating a competing operating system, software distribution, appliance or commercial product.

This restriction does not apply to independently licensed Third-Party Components to the extent their respective licences permit modification or derivative works.

8. REVERSE ENGINEERING

Except where expressly permitted by FlatCoder or by applicable law, you must not reverse engineer, decompile or disassemble ApocOS Proprietary Software.

Nothing in this Agreement is intended to prohibit activity that applicable law expressly permits notwithstanding a contractual restriction.

9. DEVICE BINDING AND COPY PROTECTION

ApocOS may use technical measures intended to prevent unauthorised copying and use of ApocOS Proprietary Software.

Depending on the product, these may include:

Trusted Platform Module (“TPM”) facilities;
hardware identifiers;
cryptographic keys;
storage-device identifiers;
specially configured storage areas or partitions;
licence records;
signed per-unit identifiers;
integrity verification; and
other device-binding or copy-protection mechanisms.

You must not intentionally defeat, remove, bypass, falsify or circumvent protection mechanisms applying to ApocOS Proprietary Software except where applicable law expressly permits the activity notwithstanding this restriction.

Technical protection is intended to enforce the proprietary ApocOS licence.

It is not intended to remove rights granted in relation to independently licensed Third-Party Components.

10. HARDWARE CHANGES AND REPLACEMENT

Because an ApocOS licence may be associated with a particular Unit, significant hardware changes may cause the software to require reactivation, re-binding or licence recovery.

Normal maintenance or replacement of individual hardware components will not automatically be treated as an attempt to circumvent licensing.

Where a legitimate repair or hardware failure causes a valid licence to stop functioning, contact FlatCoder.

Subject to reasonable verification of the original licence and circumstances, FlatCoder will provide an appropriate licence recovery, re-binding or replacement mechanism where reasonably practicable.

This provision does not affect statutory rights relating to defective goods or digital content.

11. BACKUPS AND RECOVERY

You may use backup, recovery and restoration facilities expressly provided or authorised for an ApocOS Product.

A backup does not constitute an additional licence.

A backup or recovery copy may not be used to operate a second Unit simultaneously or to create an additional independently usable ApocOS installation unless an additional licence has been obtained.

Nothing in this section restricts a backup right that applicable law grants and which cannot lawfully be excluded.

12. TRANSFER AND RESALE

Unless the terms supplied with a particular ApocOS Product state otherwise, you may transfer ownership of a complete physical Licensed Unit to another person.

For example, you may sell or give another person an ApocOS appliance containing its original licensed installation.

When doing so:

the ApocOS Proprietary Software must remain associated only with that Licensed Unit;
you must not retain another usable copy;
supplied licence/recovery material intended to accompany the Unit should be transferred with it; and
the new user must accept the applicable ApocOS licence terms before using the ApocOS Proprietary Software.

A licence may not ordinarily be separated from its Licensed Unit and transferred to unrelated hardware without FlatCoder’s authorisation.

13. THIRD-PARTY SOFTWARE

ApocOS contains Third-Party Components, including software originating from Debian GNU/Linux and other open-source projects.

Those components remain subject to their own licences.

Such licences may grant rights to:

inspect source code;
modify software;
make copies;
redistribute software; or
install modified versions.

Nothing in this Agreement is intended to remove rights granted by those licences.

The restrictions in this Agreement apply to ApocOS Proprietary Software, not automatically to independently licensed Third-Party Components.

14. OPEN-SOURCE SOURCE CODE

Where FlatCoder distributes software under terms requiring corresponding source code or other source materials to be made available, FlatCoder will comply with the applicable licence.

Where an applicable licence requires installation information or other information relating to modified versions of a covered component, FlatCoder will provide such information to the extent required by that licence.

15. OPEN DATA AND KNOWLEDGE CONTENT

ApocOS may contain maps, encyclopaedic information, environmental datasets, geographic information, technical documentation and other third-party content.

Such content remains subject to its applicable licence.

This may include content derived from projects or sources such as OpenStreetMap, Wikimedia projects, SoilGrids, CHELSA, NASA, USGS and others.

FlatCoder does not claim ownership of third-party content merely because ApocOS stores, indexes, processes, searches or displays it.

16. ARTIFICIAL INTELLIGENCE

Some ApocOS editions include or support locally operated artificial-intelligence models.

AI-generated output is probabilistic and may be inaccurate, incomplete, misleading, outdated or inappropriate for a particular situation.

You should apply appropriate judgement when relying upon AI-generated information.

AI output should not be treated as a substitute for qualified professional advice where professional advice is reasonably required, including medical, legal, financial, engineering or other safety-critical matters.

The offline nature of ApocOS also means that a locally installed model will not automatically know about events, discoveries, warnings or other information occurring after the model or associated knowledge resources were produced.

Third-party AI models remain subject to their respective licences.

17. OFFLINE OPERATION

ApocOS is specifically designed to provide substantial functionality without an active Internet connection.

Features identified by FlatCoder as offline features are intended to operate locally once the relevant software, models, maps, datasets or knowledge packs have been installed.

However, offline operation does not mean that all information will remain permanently current.

Maps, models, knowledge archives, software packages and other datasets represent information available when the relevant package or release was produced.

Where connectivity becomes available, ApocOS may provide mechanisms for authorised updates or additional data installation.

Unless expressly stated for a particular product or service, continued Internet access is not required merely to maintain the licence to use an already activated ApocOS Licensed Unit.

ApocOS may provide offline maps, routing, geographic search, points of interest and other location-related functionality.

Geographic data can contain errors or become outdated.

A mapped:

road may be closed or inaccessible;
path may no longer exist;
water source may be unsafe or unavailable;
building may have changed use;
medical facility may have closed;
shelter may be inaccessible;
bridge or crossing may be damaged;
route may be unsafe; or
point of interest may be incorrectly classified.

Location information should therefore be used as an information aid rather than as a guarantee of real-world conditions.

Users should consider actual conditions, signage, official warnings and other available information.

19. SURVIVAL AND EMERGENCY INFORMATION

ApocOS is designed in part for resilience, preparedness, remote operation and circumstances where ordinary communications or infrastructure may be unavailable.

Information concerning water, shelter, food, navigation, first aid, communications, infrastructure or other survival-related subjects is provided as an information resource.

Real-world emergency situations are inherently unpredictable.

No software product can determine all relevant environmental, medical, geographic or personal circumstances.

Users remain responsible for applying appropriate judgement to their circumstances and, where available, following instructions from emergency services, public authorities or appropriately qualified professionals.

Nothing in this section limits statutory rights relating to the quality, safety or description of the ApocOS Product itself.

20. DRILLS AND SIMULATIONS

ApocOS may provide “Drill”, simulation or scenario functionality.

Simulations are intended for planning, education, training and preparedness.

A simulated outcome is not a prediction or guarantee of what will happen during a real event.

Assumptions and underlying information may differ materially from actual circumstances.

21. SECURITY EDITION AND SECURITY TOOLS

Certain ApocOS editions may contain tools capable of:

network discovery;
vulnerability assessment;
wireless analysis;
password auditing;
penetration testing;
software analysis;
radio or signal analysis; and
other security-related functions.

These capabilities are provided for lawful purposes including administration, defensive security, education, research and authorised testing.

You are responsible for ensuring that you have permission and lawful authority before testing or accessing systems, networks, communications or equipment belonging to another person.

You must not use ApocOS to intentionally obtain unauthorised access to computer systems, data or communications.

The presence of a tool within ApocOS does not imply that every possible use of that tool is lawful in every jurisdiction.

22. USER DATA

ApocOS is designed primarily for local operation.

Information created or stored locally may include preferences, saved locations, observations, notes, documents, indexes, databases and other user-created material.

You are responsible for maintaining appropriate backups of information that is important to you.

Storage devices and computer hardware can fail, be damaged, lost or destroyed.

Where ApocOS provides backup/export facilities, users are encouraged to use them for important data.

23. UPDATES

FlatCoder may release software updates, fixes, data updates, model updates or new versions of ApocOS.

The availability and duration of updates may depend upon the product, release, hardware architecture and third-party dependencies.

Unless a particular product is expressly sold with a specified update or support period, purchase of an ApocOS licence does not create an indefinite obligation for FlatCoder to develop new features or provide new versions.

This does not affect any obligation to provide updates required by applicable consumer law or any specific update commitment made as part of the product description or terms of sale.

Updates may alter functionality where reasonably necessary for purposes including:

security;
compatibility;
defect correction;
legal or licensing compliance;
replacement of unavailable third-party components; or
continued operation on supported hardware.

FlatCoder will not use updates merely to remove material functionality promised as part of the purchased product without a legitimate reason and subject to applicable law.

24. COMPATIBILITY

ApocOS supports only hardware, architectures and configurations identified as compatible or otherwise reasonably meeting the published system requirements.

The USB edition is intended for use across a wider range of compatible hardware than preconfigured ApocOS appliances, but hardware compatibility cannot be guaranteed for every computer.

Factors including firmware, UEFI implementation, graphics hardware, wireless hardware, storage controllers, processor features and manufacturer configuration can affect compatibility.

Where FlatCoder supplies the complete ApocOS appliance, FlatCoder is responsible for supplying a product conforming to its applicable description and statutory requirements.

25. WARRANTY AND STATUTORY RIGHTS

Nothing in this Agreement excludes or restricts rights or remedies that cannot lawfully be excluded or restricted.

In particular, consumers may have statutory rights concerning goods, digital content and services supplied by a trader.

Where applicable, these may include requirements concerning conformity with description, satisfactory quality, fitness for purpose and other statutory standards.

Any commercial warranty offered by FlatCoder is additional to, and does not replace, applicable statutory rights.

26. LIMITATION OF LIABILITY

Nothing in this Agreement excludes or limits liability where doing so would be unlawful.

In particular, nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or other liability that cannot lawfully be excluded.

Subject to those qualifications, FlatCoder will not be responsible for losses that were not reasonably foreseeable when the relevant contract was made.

If you are a consumer, nothing in this Agreement limits liability in a manner prohibited by applicable consumer law.

If you use ApocOS wholly or mainly for business purposes, additional business terms or limitations supplied when the product is purchased may apply.

27. INTELLECTUAL PROPERTY

FlatCoder and its licensors retain all intellectual-property rights in ApocOS Proprietary Software.

No ownership rights are transferred by sale of a licence, USB device or appliance.

Third-party intellectual property remains owned by its respective rights holders and is licensed under the applicable third-party terms.

28. TRADEMARKS AND BRANDING

The ApocOS name, logos, product presentation and other FlatCoder branding may not be used to market, identify or imply endorsement of an unauthorised copy, derivative product or redistribution.

Third-party trademarks remain property of their respective owners.

29. TERMINATION

FlatCoder may terminate the proprietary ApocOS licence if you materially breach this Agreement and, where the breach is capable of remedy, fail to remedy it within a reasonable period after being notified.

Serious deliberate infringement, such as commercial distribution of unauthorised copies, may constitute an irremediable breach where permitted by applicable law.

Following lawful termination, you must stop using ApocOS Proprietary Software and destroy unauthorised copies.

Termination of the proprietary licence does not terminate independent rights granted to you under licences governing Third-Party Components.

Nothing in this section removes statutory rights or remedies.

30. CHANGES TO THIS AGREEMENT

The version of this Agreement supplied with an ApocOS Product applies to that product unless a change is required by law or you expressly agree to replacement terms.

FlatCoder may publish revised terms for future purchases, products or major releases.

Publication of a new EULA does not by itself retrospectively remove rights already granted under an existing agreement.

Where acceptance of materially different terms is required for an optional future product, service or major upgrade, those terms will be presented before acceptance.

31. SEVERABILITY

If any provision of this Agreement is found unlawful, invalid or unenforceable, that provision will be applied or removed to the minimum extent necessary, and the remaining provisions will continue to apply where legally possible.

32. NO WAIVER

Failure by FlatCoder to enforce a provision of this Agreement on one occasion does not automatically waive the right to enforce that provision later.

33. ENTIRE AGREEMENT

This Agreement, together with:

the ApocOS Proprietary Software Licence;
applicable product-specific terms;
applicable terms of sale; and
any mandatory information supplied before purchase

forms the contractual framework governing use of ApocOS Proprietary Software.

Nothing in this section excludes statements or information that applicable law treats as contractually binding or prevents reliance upon rights that cannot lawfully be excluded.

Third-Party Components remain governed by their respective licences.

34. GOVERNING LAW

This Agreement is governed by the laws of England and Wales.

If you are a consumer resident elsewhere, you may also benefit from mandatory protections provided by the law applicable to you that cannot lawfully be excluded by this Agreement.

Nothing in this Agreement requires a consumer to bring proceedings exclusively in England and Wales where applicable law gives that consumer a right to bring proceedings elsewhere.
